Terms of Service
1. Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between Bakdaulet Tashmanov (trading as Canly AI) (“Canly”, “we”, “us”, or “our”), a sole proprietor (şahıs işletmesi) registered in the Republic of Türkiye, Vergi Kimlik No 8240839884 (Büyükçekmece Vergi Dairesi), with business address at Adnan Kahveci Mah. Büyükdere Cad. Beylikdüzü / İstanbul, Türkiye, and you, the registered seller (“Seller”, “you”, or “your”), regarding your use of the Canly AI platform and associated services (collectively, the “Service”).
By registering for or using the Service, you confirm that you have read, understood, and agreed to these Terms.
2. Definitions

| Seller | A registered Trendyol marketplace seller who has created an account on the Service. |
| Subscription | A paid plan granting access to the Service for a defined billing period. |
| Trendyol API | The Trendyol V2 seller API accessed by the Service on the Seller's behalf using credentials provided by the Seller. |
| AI Agents | The multi-agent AI systems within Canly AI that provide automated analysis, recommendations, and actions. |
| Seller Data | All data belonging to or generated by the Seller, including store data retrieved via the Trendyol API, WhatsApp conversation content, financial records, and account information. |
| Output | Any response, recommendation, forecast, report, or action generated by the AI Agents based on Seller Data. |
3. Eligibility and Account Registration
3.1 Eligibility
To use the Service, you must be at least 18 years of age, be a registered seller on the Trendyol marketplace, have full legal capacity to contract under Turkish law, and provide accurate info during registration.
3.2 Account Security
You are responsible for maintaining the security of your account credentials, including API keys. Notify us immediately at support@canlyai.com in case of unauthorized use.
3.3 Business Use (B2B Nature)
The Service is designed exclusively for commercial use by Trendyol sellers. It is not a consumer product. Therefore, consumer protection rights do not apply to this agreement.
4. Description of the Service
4.1 Core Features
The Service provides a Supervisor Agent, FinanceAgent (payout forecasting), OrderAgent (shipment tracking), AuditAgent (cargo fee audits), ProductAgent (catalog analysis), SupportAgent (Trendyol support), and RepriceAgent (price suggestions).
IMPORTANT DISCLOSURE: All responses, recommendations, forecasts, and proposed actions are generated by artificial intelligence systems. You are always interacting with an AI. No Output constitutes professional financial, legal, tax, or investment advice. The AI Agents are provided as a decision-support tool only.
5. Trendyol API Integration
By providing your Trendyol API credentials, you grant us a limited authorization to access the API on your behalf. We make no representations regarding the accuracy or completeness of data received from Trendyol.
6. Subscriptions and Billing
6.1 Plans
Subscription plans, pricing, and features are described on our website. We reserve the right to modify plans with 30 days' advance notice. New users get a 7-day free trial.
6.2 Billing Details
Subscriptions are billed in advance on a monthly or annual basis. Prices are in TRY and exclusive of VAT (KDV). Payments are processed securely via iyzico. We do not store card numbers.
7. Cancellation and Withdrawal
You may cancel your subscription at any time. It will take effect at the end of the paid period. Our voluntary 14-day money-back guarantee for first-time subscribers is detailed in our Refund Policy.
8. Acceptable Use Policy
You must not use the Service for illegal purposes, price manipulation, or anti-competitive behavior. Attempting to reverse-engineer the AI models or bypass rate limits is strictly prohibited.
9. Seller Data and Intellectual Property
You retain full ownership of Seller Data. You grant us a limited licence to process it to provide and improve the Service. The Service, including all models, algorithms, and interfaces, remains our exclusive intellectual property.
10. Data Processing
Personal data is processed in accordance with our Privacy Policy.
11. Confidentiality
Each party agrees to keep the other's business, financial, and technical information strictly confidential.
12. Representations and Warranties
The Service is provided “as is”. We make no warranty that outputs are accurate, error-free, or will result in specific profit outcomes.
13. Limitation of Liability
We are not liable for indirect, consequential, or profit losses, or outcomes resulting from AI recommendations. Our aggregate liability is capped at the fees paid by you in the 3 months preceding the claim.
14. Indemnification
You agree to indemnify us against any claims, losses, or costs arising from your breach of these Terms or misuse of the Service.
15. Suspension and Termination
We may suspend your account for breach of Terms or if payment fails for 7 days. If we terminate the Service, we will provide 60 days' notice and a pro-rata refund.
16. Modifications to Service and Terms
We will provide 30 days' notice for material changes to these Terms. If you do not accept, you may cancel your subscription.
17. Dispute Resolution
Disputes will first be negotiated informally for 30 days. Unresolved business-to-business (B2B) disputes will be submitted to the exclusive jurisdiction of the Istanbul Courts and Enforcement Offices.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye.
19. General Provisions
These Terms, along with policies, constitute the entire agreement. Neither party is liable for force majeure delays. The Turkish text of these Terms shall prevail in case of any discrepancy.
